Terms and Conditions

Mahi Mahi Tech Solutions Private Limited ("Mahi Mahi", "Company", "we", "our", or "us")

These Terms of Service ("Terms") govern access to and use of Mahi Mahi’s websites, applications, APIs, software, platforms, analytics services, and related offerings (the "Services"). They form a binding agreement between Mahi Mahi and the person or organization accepting them ("Customer", "you", or "your"). If you accept these Terms for an organization, you represent that you have authority to bind it. Your use of the Services is also subject to the applicable proposal, order form, statement of work, or other written commercial terms between the parties (the "Order").

 

1. Mahi Mahi Managed Service with mAIven

 

mAIven is a managed analytics service operated by the Mahi Mahi team. It connects authorized customer properties to Google Analytics 4 and Google Search Console, retrieves read-only data, and prepares dashboards, reports, and insights for customer review. mAIven is not currently self-service; customers may view outputs made available by Mahi Mahi but do not receive administrative access to the underlying integrations unless agreed in writing.

 

2. Eligibility and account information

 

You must be at least 18 years old and legally able to enter these Terms. You must provide accurate information and keep it current. You are responsible for instructions, approvals, and access requests made by your authorized personnel, and for ensuring that those personnel comply with these Terms.

 

3. Authorization for integrations

 

You authorize Mahi Mahi to connect the Google properties you identify and to use the minimum read-only permissions required for the Services, including GA4 analytics.readonly and Google Search Console webmasters.readonly scopes. We will not create, modify, or delete items in your Google account. You confirm that you have authority to grant access to each property and that the data may lawfully be shared with us for the agreed Services. You will provide any additional written approval required by your organization for Mahi Mahi personnel to access or review the data.

 

4. Google data and revocation

 

You may revoke access through Google’s third-party access settings or ask us to disconnect a source. We will delete stored connection tokens promptly when a source is disconnected. Derived metrics and reports may be retained only for a justified business or legal purpose and no longer than the retention period described in the Privacy Policy, subject to applicable law and the Order. Use and transfer of information received from Google APIs will comply with the Google API Services User Data Policy and its Limited Use requirements. We do not sell Google user data, use it for advertising, share it across customers, or use it to train shared or general-purpose AI models.

 

5. Customer content and instructions

 

You retain ownership of data, materials, trademarks, and other content you provide or authorize us to access ("Customer Content"). You grant Mahi Mahi a limited, non-exclusive right to host, copy, process, analyze, and display Customer Content only as necessary to provide, secure, support, and troubleshoot the Services and produce agreed reports. We may use aggregated or anonymized information that does not identify you or an individual to operate and improve the Services. We will not use Customer Content or identifiable service data to train a shared or general-purpose AI model. You are responsible for the legality, accuracy, and integrity of Customer Content and for giving required notices and obtaining required consents from individuals.

 

6. Permitted use and restrictions

 

You may use the Services only for lawful business purposes and in accordance with these Terms. You must not: (a) misuse or disrupt the Services; (b) attempt unauthorized access or bypass security; (c) reverse engineer or extract source code; (d) copy, resell, or commercially exploit the Services except as agreed; (e) upload malware or unlawful content; (f) use the Services to infringe rights or violate privacy, data-protection, or platform rules; or (g) use automated access except through an approved API or written authorization.

 

7. Reports, insights, and reliance

 

Reports and insights are informational business analytics, not legal, financial, accounting, medical, or other professional advice. Metrics may be delayed, incomplete, or changed by Google or other source platforms. You are responsible for reviewing outputs before relying on them and for decisions made using them.

8. Availability and changes

We aim to provide reliable Services but do not promise uninterrupted or error-free operation. Availability may depend on Google, hosting, networks, or other third parties. We may change, suspend, or discontinue features, including an integration, when reasonably necessary for security, compliance, product development, or a third party’s requirements.

9. Fees and taxes

Fees, billing frequency, payment terms, and applicable taxes will be stated in an Order, proposal, invoice, or other written commercial agreement. Unless that agreement says otherwise, undisputed invoices are due within [30] days. You are responsible for applicable taxes other than taxes on Mahi Mahi’s net income. No fee or renewal term is created by these Terms alone.

10. Intellectual property

Mahi Mahi and its licensors own the Services, software, documentation, templates, methods, and improvements, excluding Customer Content. Subject to these Terms and payment of applicable fees, we grant you a limited, non-transferable right to access and use the reports and outputs delivered to you for your internal business purposes. You may not remove proprietary notices or represent that Mahi Mahi’s underlying tools or methods are your own. Feedback may be used without restriction, provided it does not identify you or disclose Customer Content.

 

11. Confidentiality

 

Each party must protect the other party’s non-public information using reasonable care and use it only to perform or receive the Services. Confidentiality obligations do not apply to information that is public without breach, already lawfully known, independently developed, or lawfully received from another source. Disclosure required by law is permitted after notice where legally allowed.

 

12. Data protection and security

 

Each party will comply with applicable data-protection laws. Mahi Mahi’s processing of personal information is described in the Privacy Policy. Where Mahi Mahi processes personal data on your behalf, the parties will follow any applicable data-processing terms or written instructions. We maintain reasonable technical and organizational safeguards, but no service can guarantee absolute security.

 

13. Third-party services

 

The Services may depend on third-party services, including Google Cloud, Google Analytics, and Google Search Console. Third-party terms and policies apply to your use of those services. Mahi Mahi is not responsible for third-party outages, changes, or acts outside our reasonable control.

 

14. Indemnity

 

You will defend and indemnify Mahi Mahi, its affiliates, and personnel against third-party claims arising from your unlawful use of the Services, breach of these Terms, Customer Content, or failure to obtain required rights or consents, except to the extent caused by Mahi Mahi’s willful misconduct or gross negligence.

 

15. Disclaimers

 

To the maximum extent permitted by law, the Services are provided on an "as is" and "as available" basis. We disclaim implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and that outputs will be accurate or meet every requirement. Nothing in these Terms excludes a warranty or liability that cannot lawfully be excluded.

 

16. Limitation of liability

 

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenue, goodwill, or data. Mahi Mahi’s aggregate liability arising out of the Services will not exceed fees paid or payable for the three months preceding the event giving rise to the claim, except for liabilities that cannot be limited by law.

 

17. Suspension and termination

 

We may suspend access if reasonably necessary to prevent harm, address a security risk, comply with law, or address non-payment. Either party may terminate for material breach not cured within 30 days after written notice. On termination, access ends and each party will return or delete the other’s confidential information, subject to the Privacy Policy, legal obligations, and secure backup cycles. Sections intended by their nature to survive will survive.

 

18. Dispute resolution and governing law

 

These Terms are governed by the laws of India, without regard to conflict-of-law rules. Courts located in [INSERT CITY, INDIA] will have exclusive jurisdiction, unless a signed commercial agreement provides otherwise. For US customers, mandatory rights that cannot lawfully be waived remain unaffected. Nothing in this section prevents either party from seeking urgent injunctive or equitable relief from a court of competent jurisdiction.

 

19. General

 

These Terms, together with the applicable Order and the Privacy Policy, are the agreement for the Services. If there is a conflict, the signed commercial agreement controls, then these Terms, then the Privacy Policy for privacy matters. You may not assign these Terms without our prior written consent, except in a merger or sale of substantially all assets. We may assign them to an affiliate or successor. Failure to enforce a provision is not a waiver. If a provision is invalid, the remainder remains effective. Notices must be sent to the contacts below or the contacts in the applicable commercial agreement. These Terms may be accepted electronically and may be updated prospectively; material changes will be communicated or posted with a revised effective date.

 

20. Force majeure

 

Neither party is responsible for delay or failure caused by events beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, labor disputes, government action, widespread internet or utility failure, or a third-party platform outage. This section does not excuse payment obligations for Services already provided.
